POSITION SUMMARY: Support Senior Board Administrator, Corporate Secretary and Chief Legal Officer in handling all administrative matters relating to supporting the Companys Board of Directors and managing board and committee meetings, including coordination and distribution of materials to the Directors; assisting with meeting schedules and logistics, processing invoices and expense reimbursements; and corporate recordkeeping. Additional responsibilities and duties as requested.
-Board support and budget reporting/management as requested
-Assist with recordkeeping for the Board and Corporate Secretary/Director of Corporate Governance
-Provide consistent high quality service to both internal and external constituents that meets or exceeds the Company’s standards
-Responsibilities include supporting, and assisting with all logistical arrangements for, all Board and Board Committee meetings and events, including scheduling meetings, coordinating venues and processing invoices.
-Assist the Corporate Secretary and Board Administrator with the coordination and distribution of Board materials in hard copy and through the Board portal
-Assist the Corporate Secretary’s Office with corporate governance record keeping including storage of Board materials and ongoing maintenance of databases for Director information and other administrative Board records
-Coordinate logistical arrangements for all Board and Board Committee meetings and events including scheduling meetings, coordinating venues, videoconference connections, transportation, meals and processing invoices and expense reports
-Establish and maintain strong working relationships with Directors offices, Santander US corporate secretary teams and internal and external constituents and consistently anticipate customer needs to deliver a high level of service, support and proactive involvement
-Participate in Santander US Corporate Secretary Forum meetings and SHUSA/SBNA Weekly Board Planning Sessions with subject matter experts and take a leadership role in planning the SHUSA/SBNA Corporate Secretary Offsite
-Pay close attention to detail and provide thoughtful analysis of Corporate Secretary’s Office projects and procedures
-Take the initiative to provide suggestions for increased efficiency and actively seek ways to add value within scope of assignments
-Provide logistical and administrative support during Board meetings and be available from time to time to work in the office or remotely on the evenings and weekends to support associated logistics, communications and distribution of materials
-Support the corporate secretary team with the coordination and distribution of Board materials through the board portal. Maintain accurate records of board portal users and permissions and act as department resource on the board portal system and best practices.
QUALIFICATIONS/EXPERIENCE: Bachelor's degree preferred. At least 5 years experience working with boards or in an executive management setting.
SPECIALIZED KNOWLEDGE: Ability to work independently on matters within the purview of the position. Proficient in Microsoft Office, Outlook, Word, Excel, Power Point and Adobe Writer. Familiarity with Board portal systems (ex. Diligent) is a plus. Strong administrative skills, strong oral and written communication skills, strong organizational skills and attention to detail/accuracy are required. Ability to work in both a team-environment and independently. Experience with word processing systems, spreadsheets, databases and presentation software. Possess strong organizational, project management and multi-tasking skills. Proficiency with an electronic board portal application preferred. Proven experience in a position requiring time management, accuracy and attention to detail. Willingness to become a Massachusetts notary
